1. About us and these terms
These terms apply to every service Tactical Digital Marketing (Pty) Ltd (“TDM”, “we”, “us”) provides to a client (“you”). We are a digital marketing agency based in Pretoria, South Africa. Registration number: 2022/619004/07. Address: 256 Rosalind Street, Murrayfield, Pretoria, 0184.
By signing a service agreement, paying an invoice or subscribing through our website, you accept these terms. If your signed service agreement says something different, the agreement applies to that point.
2. Our services
We provide Google Ads management, SEO management, social media and Meta Ads, web design, and website hosting and subscription websites. The exact scope, deliverables and start date for each client are set out in that client’s service agreement or proposal.
Ad spend is paid by you directly to the advertising platform (for example Google or Meta). It is not part of our fees and we do not collect it.
We use reasonable skill and care, but we cannot guarantee rankings, leads or sales. Results depend on third-party platforms, competition and factors outside our control.
3. Fees, recurring billing and payment
Our ongoing services are billed as a recurring monthly retainer or subscription. Fees are set out in your service agreement or at the time you subscribe.
- Invoices are issued monthly in advance.
- Payment is due within 7 days of the invoice date.
- You can pay by EFT or through our payment partner, Payfast (card or instant EFT).
- By signing up for a monthly retainer or subscription, you authorise us to bill you every month until the service is cancelled under section 4.
- Once-off projects are invoiced as agreed in the proposal.
- If an invoice is not paid on time, we may suspend the service until it is paid.
- TDM is not currently VAT registered, so no VAT is added to our fees. If that changes, we will give you written notice before VAT is added.
4. Term and cancellation
Some retainers have a minimum term, for example six months, which is stated in your service agreement. After the minimum term, or where none applies, the service continues month to month.
You or TDM may cancel with 30 days’ written notice by email to [email protected]. Cancellation takes effect at the end of the notice period, and fees remain payable until then. We may suspend or end a service immediately for non-payment or a serious breach of the agreement.
On cancellation we will hand over your campaign data and creative materials once all outstanding invoices are paid.
5. Refund policy
Monthly retainer and subscription fees are paid in advance for work done that month, so they are not refunded once the month has started. If you cancel mid-month, the service runs to the end of your notice period and no part-month refund is due.
We will refund or credit you in these cases:
- We charged you in error or twice for the same period. We refund this within 7 business days of confirming it.
- We did not deliver a service you paid for. We refund the portion not delivered.
Once-off projects are not refundable after work has started, except where we fail to deliver what the proposal describes.
Ad spend is paid to the advertising platform and cannot be refunded by TDM.
Nothing in these terms limits your rights under the Consumer Protection Act, where it applies to you.
6. Your responsibilities
To do our work properly, you agree to:
- give us timely access to the accounts we need (website, hosting, Google Ads, Analytics and similar)
- approve recommendations and content within a reasonable time
- keep a valid payment method on your advertising accounts
- give us accurate information about your business, prices and stock
Delays caused by missing access or approvals may delay results, and fees remain payable.

8. Confidentiality, ownership, liability and law
Confidentiality. Each party keeps the other’s confidential information private and uses it only to carry out the agreement. This continues for two years after the agreement ends. Our Privacy Policy explains how we handle personal information.
Ownership. Strategies, campaign structures and creative materials we develop remain ours until you have paid in full. After full payment you keep the rights to your campaign data and creatives.
Liability. We are not liable for indirect or consequential losses, or for results that depend on third-party platforms. Business decisions made on your side remain your responsibility. Our total liability for any claim is limited to the fees you paid us in the three months before the claim arose.
Changes. We may update these terms from time to time. The version published on our website applies, and changes do not affect services already paid for.
Governing law. These terms are governed by the laws of the Republic of South Africa.
